These Terms govern your use of MaterialityCheck's CSRD screening and Scope 3 project reporting tools. By using the Services, you agree to these Terms. The Services are currently free during open beta.

Introduction

1.1These general terms and conditions ("Terms") govern the use and provision of the Services provided by MaterialityCheck (registered in Sweden) to users and subscribers, and form the entire agreement between the parties.
1.2By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
1.3Capitalized terms used but not defined here shall have the meaning given to them in Section 12 (Definitions).

The Services

2.1.1MaterialityCheck provides two AI-powered tools: (i) Company Screening — a double materiality assessment across all 10 ESRS topics producing a PDF report, and (ii) Project Report — a Scope 3 climate emissions report for a specific project. Together these are referred to as the "Services".
2.1.2MaterialityCheck shall endeavor to make the Services available at all times, except for interruptions due to maintenance or circumstances beyond our reasonable control.
2.1.3The Services are currently offered free of charge during a beta phase. MaterialityCheck reserves the right to introduce paid plans in the future, with at least 30 days' prior notice to users.
2.2.1Certain features require you to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
2.2.2If you become aware of any unauthorized use of your account, notify us promptly at materialitycheck.ai@gmail.com.
2.3.1You agree not to: (i) use the Services to infringe any person's rights; (ii) sub-license or sell your right to access; (iii) reverse engineer the Services; (iv) use automated methods to extract data; (v) use the Services to build a competing product; or (vi) interfere with the proper working of the Services.

Fees and Payment

3.1The Services are currently provided free of charge during the beta period.
3.2MaterialityCheck reserves the right to introduce fees by giving at least 30 days' prior written notice before a new billing period begins.
3.3All fees are exclusive of VAT and any other applicable taxes, which are the user's sole responsibility.
4

Term and Termination

4.1These Terms are effective from the date you first use the Services and remain in force until terminated by either party.
4.2Either party may terminate for cause: (i) upon 30 days' written notice for uncured material breach; (ii) if the other party becomes insolvent; or (iii) immediately in cases of serious misuse.
4.3Upon termination, your right to use the Services ceases immediately. MaterialityCheck will assist you in retrieving stored content in a standard format upon reasonable written request.

Indemnification

5.1MaterialityCheck will defend you against third-party claims alleging that your use of the Services, in accordance with these Terms, infringes any third party's intellectual property rights.
5.2You will defend MaterialityCheck against third-party claims arising from your Input or your use of the Services in violation of these Terms.

Warranties and Liability

6.1.1The Services use artificial intelligence which may produce Output that is inaccurate, incomplete, or not suited to your specific circumstances. You are solely responsible for evaluating the accuracy and quality of all Output before relying on it.
6.1.2The Output is intended as a preliminary screening tool only and does not constitute formal sustainability consulting, legal advice, or a complete CSRD-compliant assessment. You should always engage qualified professionals before making compliance decisions.
6.2.1MaterialityCheck warrants that it will perform the Services in a professional manner in accordance with generally accepted industry standards, based on ESRS 1, EFRAG IG 1, GHG Protocol, and VSME standards.
6.2.2EXCEPT FOR THE WARRANTIES IN THIS SECTION, THE SERVICES ARE PROVIDED ON AN "AS-IS" BASIS. MATERIALITYCHECK DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.3.1TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS.
6.3.2MATERIALITYCHECK'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM (OR, DURING FREE BETA, SEK 1,000).

Confidentiality and Security

7.1"Confidential Information" means all information designated as confidential or that should reasonably be understood to be confidential, including your company data, Input, Output, and our technology.
7.2Each party shall keep the other's Confidential Information confidential, protect it with at least reasonable care, and not use it outside the scope of these Terms.
7.3MaterialityCheck implements reasonable technical and organizational measures to protect the security of your data. You are responsible for protecting your account credentials.
7.4Confidentiality obligations survive termination for 5 years, or indefinitely for trade secrets.
8

Intellectual Property Rights

8.1MaterialityCheck and its licensors own all rights in and to the Services, including all intellectual property rights. Nothing in these Terms transfers such rights to you.
8.2As between the parties, you retain all rights to the Input you provide.
8.3Subject to your compliance with these Terms, MaterialityCheck grants you a limited, non-exclusive, non-transferable license to use the Services and download Output reports for your own internal business purposes.
8.4You may share Output reports with customers or supply chain partners as contemplated by the Services. You may not use Output for resale or as the basis for a competing product without prior written consent.
8.5MaterialityCheck will not use your Input or Confidential Information to train generative AI models without your prior written consent.
8.6We welcome Feedback. MaterialityCheck may use Feedback freely without restriction. Any intellectual property arising from Feedback shall vest in MaterialityCheck.

Personal Data

9.1When you use the Services, MaterialityCheck may process personal data in accordance with our Privacy Policy. By using the Services, you consent to such processing.
9.2MaterialityCheck processes personal data in compliance with GDPR and applicable Swedish data protection law.
10

Miscellaneous

10.1No partnership. These Terms do not create a partnership, joint venture, or agency relationship. The parties are independent contractors.
10.2Notices. Notices to MaterialityCheck should be sent to materialitycheck.ai@gmail.com.
10.3Severability. If any provision is found invalid, the remaining provisions remain in full force.
10.4Assignment. You may not assign your rights without MaterialityCheck's prior written consent.
10.5Force majeure. Neither party will be liable for failure to perform due to circumstances beyond their reasonable control.
10.6Marketing. By using the Services, you grant MaterialityCheck the right to reference you as a user for marketing purposes. You may withdraw this consent at any time by written notice.
10.7Changes to Terms. MaterialityCheck may update these Terms by posting updates on the website. Continued use after the effective date constitutes acceptance. If you consider an update materially adverse, you may notify us within 15 days and terminate without penalty if unresolved.

Governing Law and Disputes

11.1These Terms shall be governed by the laws of Sweden, without regard to conflict of law principles.
11.2Any dispute shall first be subject to good-faith negotiations. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the Swedish courts, with the District Court of Stockholm (Stockholms tingsrätt) as the court of first instance.

Definitions

Company ScreeningThe AI-powered double materiality assessment tool, producing a PDF report covering all 10 ESRS topics.
ESRSThe European Sustainability Reporting Standards adopted under EU Delegated Regulation 2023/2772.
GDPRRegulation (EU) 2016/679 on the protection of natural persons with regard to the processing of personal data.
InputThe data, documents, and other content submitted by you for use in the Services.
MaterialityCheckThe company operating the materialitycheck.ai platform, registered in Sweden.
OutputThe reports, analyses, and other content generated by the Services based on your Input.
Project ReportThe AI-powered Scope 3 climate emissions report for a specific project, produced in accordance with GHG Protocol and VSME standard.
ServicesThe Company Screening and Project Report tools, together with the materialitycheck.ai platform and related features.
SMEA small or medium-sized enterprise as defined under EU Recommendation 2003/361/EC.
VSMEThe Voluntary Sustainability Reporting Standard for SMEs developed by EFRAG.
